Terms of Service

Article 1 – Purpose

These Terms of Service (hereinafter "ToS") govern the contractual relationship between Weblynk LLC (hereinafter "Weblynk" or "the Provider"), a limited liability company incorporated under the laws of the State of New Mexico with EIN 98-1906577, located at 1209 Mountain Rd Pl NE Ste N, Albuquerque, NM 87110, United States, and any individual or legal entity subscribing to its services (hereinafter "the Customer").

Weblynk offers a SaaS (Software as a Service) business management platform including project management, invoicing, CRM, analytics, and collaboration tools.

Article 2 – Acceptance of Terms

Any subscription to a Weblynk service implies full and unconditional acceptance of these ToS. The Customer acknowledges having read and accepted these terms prior to subscribing.

Weblynk reserves the right to modify these ToS at any time. Modifications will be communicated to the Customer by email at least 30 days before taking effect.

Article 3 – Services Offered

3.1 Plan Descriptions

3.2 Availability

Weblynk commits to providing a 99.9% uptime rate for Pro and Enterprise plans, excluding scheduled maintenance windows. Maintenance will be communicated to the Customer at least 48 hours in advance.

Article 4 – Account Registration

The Customer agrees to provide accurate and up-to-date information at the time of registration. The Customer is responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their account.

In the event of unauthorized use of their account, the Customer must notify Weblynk immediately at: contact.weblynk@gmail.com

Article 5 – Pricing and Payment

5.1 Pricing

All prices are quoted in U.S. dollars (USD) before applicable taxes. Applicable sales tax will be added where required by law.

5.2 Payment Methods

Payment is made monthly or annually (with a 20% discount on annual plans), by credit card or ACH bank transfer. Payment is due on the billing date of each period.

5.3 Late Payments

In the event of late payment, a late fee of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) will be applied to the outstanding balance. Weblynk reserves the right to suspend access to the service until payment is received in full.

Article 6 – Term and Termination

6.1 Term

Subscriptions are entered into for an indefinite period with a minimum commitment of one month (monthly) or one year (annual).

6.2 Termination by the Customer

The Customer may cancel their subscription at any time from their account dashboard. Cancellation takes effect at the end of the current billing period. No prorated refund will be issued.

Upon termination, the Customer has 30 days to export their data. After this period, Weblynk will permanently delete the data.

Article 7 – Intellectual Property

Weblynk retains all intellectual property rights over the platform, its source code, interfaces, documentation, and all associated elements.

The Customer retains full ownership of the data they enter into the platform. Weblynk undertakes not to use such data for any purpose other than providing the service.

Article 8 – Data Protection

Weblynk processes personal data in accordance with applicable U.S. federal and state privacy laws. For more details, please refer to our Privacy Policy.

Article 9 – Liability

9.1 Weblynk's Obligations

Weblynk commits to using commercially reasonable efforts to ensure service continuity and quality. This constitutes a best-efforts obligation.

9.2 Limitation of Liability

In no event shall Weblynk's total liability exceed the amount paid by the Customer in the 12 months preceding the event giving rise to the claim.

Weblynk shall not be liable for indirect damages, including but not limited to loss of revenue, loss of data (beyond its backup obligations), reputational harm, or loss of business.

Article 10 – Force Majeure

Weblynk shall not be liable for failure to perform its obligations in the event of a force majeure occurrence, including without limitation: natural disasters, internet network outages, large-scale cyberattacks, or government orders.

Article 12 – Governing Law and Jurisdiction

These ToS are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. In the event of a dispute, the parties agree to first seek an amicable resolution. Failing agreement, any dispute shall be submitted to the exclusive jurisdiction of the courts of Bernalillo County, New Mexico.

Article 13 – General Provisions

If any provision of these ToS is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Weblynk's failure to exercise any right provided herein shall not constitute a waiver of that right.
